公司治理有广义和狭义之分，广义上的公司治理包括公司内部法人治理、外部市场经营治理和以公司法、公司章程为核心的法律规则治理；狭义上的公司治理仅是公司法人治理，即股东会制度、董事会制度、董事长制度、总经理制度、监事会制度、公司董监高的资格和义务、公司高管的激励机制、独立董事制度。

主要有两种模式，单轨制，即公司机构由股东会和董事会构成；双轨制，在单轨制基础上曾设监事会；不管是单轨制还是双轨制模式，公司治理结构的基本模式应该包括，表意机构、执行机构、监督机构，这样才能充分体现出公司各机构之间权责分明、相互制衡、相互协调，从而实现有效公司治理，促进公司经营目标的实现。
